Terms of Service for Business RMS 4.0

Welcome to Business RMS 4.0 (the “Service”), provided by Business Partner VIP Services LLC (“we,” “us,” or “our”), located at 7380 W Sand Lake RD, 5th Floor, Orlando, FL 32819. These Terms of Service (“Terms”) govern your access to and use of the Service, including our website, login dashboard, NFC feedback cards, and related features. By signing up, accessing, or using the Service, you (“you,” “your,” or “User”) agree to be bound by these Terms. If you do not agree, do not use the Service.

These Terms form a legally binding agreement. Read them carefully. We may update them—changes will be posted here with the “Last Updated” date. Continued use after changes constitutes acceptance.

1. Eligibility and Account Registration

  • You must be at least 18 years old and authorized to bind your business to these Terms.
  • To use the Service, register at https://brms4.businesspartnervip.com/cms/ with accurate information (e.g., business name, contact details, billing info). You are responsible for maintaining account security (e.g., passwords) and all activities under your account.
  • Each business location requires a separate registration and dashboard—no multi-location sharing.

2. Service Description

  • Business RMS 4.0 is a cloud-based platform for collecting real-time customer feedback via NFC cards or QR codes. Features include: employee dropdown linking, separate ratings for employee performance and business aspects, real-time alerts, Google review controls (e.g., copy-paste for positives), dashboard tabs (e.g., Employee Tab for reports, Print QR, Order Cards), and more.
  • We provide NFC cards shipped upon signup (free replacements available). The Service is accessible via any device—no downloads required.
  • Use is limited to legitimate business purposes (e.g., feedback collection for service industries like restaurants, HVAC, salons). Prohibited: Illegal activities, spamming, or reverse-engineering.

3. Subscription and Payment

  • Subscription is $399.99 per month per location, billed automatically to your provided payment method.
  • No long-term contracts—cancel anytime via dashboard or email (admin@businesspartnervip.com). Cancellations effective at billing cycle end; no refunds for partial months.
  • Taxes, if applicable, are your responsibility. We may adjust pricing with 30 days’ notice.
  • Failed payments may suspend access until resolved.

4. User Content and Feedback

  • You own feedback data submitted by customers but grant us a non-exclusive, royalty-free license to use it for Service operation (e.g., storage, alerts).
  • Ensure content complies with laws—no defamatory, illegal, or infringing material. We may remove violating content but are not obligated to monitor.
  • Feedback is linked to employees via dropdown—use responsibly for internal purposes (e.g., training, not harassment).

5. Intellectual Property

  • We own all rights to the Service, including software, NFC designs, and trademarks (e.g., “Business RMS 4.0”). You get a limited, revocable license to use it as intended.
  • Do not copy, modify, or distribute any part without permission. Your suggestions become our property (non-exclusive license granted).

6. Termination

  • You may cancel anytime—no notice required.
  • We may suspend/terminate for violations (e.g., non-payment, abuse) with notice where feasible. Upon termination, access ends; data may be deleted after 30 days.
  • Surviving sections: Intellectual Property, Disclaimers, Limitation of Liability, Indemnification.

7. Disclaimers and Limitation of Liability

  • The Service is “as is” without warranties (express or implied, including fitness for purpose or non-infringement). We don’t guarantee error-free operation or specific results (e.g., review increases).
  • Not liable for indirect damages (e.g., lost profits, data loss) or amounts exceeding fees paid in the last 12 months. Total liability capped at $100 per incident.
  • Not responsible for customer-submitted content or third-party integrations (e.g., Google).

8. Indemnification

  • You agree to indemnify us against claims arising from your use (e.g., misuse of feedback data, violations of law).

9. Governing Law and Dispute Resolution

  • Governed by Florida laws, without conflict principles. Disputes resolved in Orlando courts or via arbitration (at our discretion).
  • No class actions—individual claims only.

10. Miscellaneous

  • Force Majeure: Not liable for delays due to events beyond control (e.g., natural disasters).
  • Severability: Invalid provisions don’t affect others.
  • Entire Agreement: These Terms supersede prior understandings.
